Terms of Service

These terms govern your use of the Toolsy website and workspace. By creating an account or using the Service, you agree to them.

Last updated · November 4, 2026

1. Agreement

The Service is provided by the independent Toolsy project (“Toolsy,” “we,” “us,” or “our”). If you use the Service on behalf of a company, you represent that you have authority to bind that company to these terms.

2. Accounts

You are responsible for the accuracy of your account information, for keeping your password confidential, and for activity under your account. Notify us promptly if you believe your account has been compromised. We may suspend accounts that violate these terms or create risk for other users.

3. Acceptable use

You agree not to:

  • Use the Service to violate any law or the rights of another person.
  • Attempt to access another account, workspace, or supplier record without authorization.
  • Probe, scan, or test the Service for vulnerabilities without written permission.
  • Send spam, misleading RFQs, or content you do not have the right to share.
  • Resell or redistribute the Service without a separate agreement.

4. Workspace content

You retain ownership of the material lists, notes, and other content you upload. You grant Toolsy the limited right to process that content to provide the Service. You are responsible for having the right to share any content you submit.

5. Supplier directory

The supplier directory and reference prices are provided for information only. Toolsy is not a party to any transaction between you and a supplier and does not guarantee stock, price, lead time, quality, or delivery. You are responsible for confirming specifications and terms directly with the supplier before placing an order.

6. Plans and billing

The Free plan is provided at no charge. Paid plans are listed on the pricing page; activation and payment terms are confirmed by email before any charge is made. We may change listed prices with reasonable notice.

7. Availability and changes

The Service is provided on an as-is basis. We may modify, suspend, or discontinue features at any time. We aim to keep the Service available but do not guarantee uninterrupted access or a specific uptime percentage.

8. Disclaimers and liability

To the maximum extent permitted by law, Toolsy is not liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or procurement savings. Our total liability for any claim is limited to the amount you paid us in the three months before the claim. Some jurisdictions do not allow these limitations, so they may not apply to you.

9. Governing law

These terms are governed by the laws of the jurisdiction in which the Toolsy project is operated. Disputes will be brought in the courts of that jurisdiction.
